OVERVIEW
These Terms of Service (“Terms”) describe the framework under which
HeadBlocks Pvt. Ltd. (referred to as the “Service Provider”) will
perform its development and design offerings (together, the
“Services”) for the entity or individual receiving them (the
“Client”). By requesting, accepting, or otherwise making use of the
Services, the Client acknowledges that they have read, understood, &
agree to be bound by the terms contained herein.
1. Scope of Our Services
The Service Provider shall render development services in accordance
with the terms mutually agreed upon with the Client. All particulars
relating to the Services including, but not limited to,
deliverables, schedules, & performance milestones, shall be
expressly detailed within a separate “Developer Service Agreement”
and/or “Statement of Work.”
The Service Provider retains the discretion to delegate any portion
of the Services to qualified third-party contractors, provided such
delegation does not compromise either the agreed standards of
quality or the timely completion of the Services.
2. Payment & Fees
We believe in a transparent and no-surprise billing methodology.

All fees and payment schedules are clearly outlined in your
Service Agreement.

Payments are non-refundable unless your agreement specifically
says otherwise.

We will accept the payment via the methods listed in your Service
Agreement, and we will send you the invoice as per the schedule
agreed upon.
3. Intellectual Property
The Client shall remain the sole owner of all intellectual property
rights in any materials, data, or content supplied to HeadBlocks
Pvt. Ltd. for the performance of the Services.
All intellectual property produced in the course of delivering the
Services, including, without limitation, software code, design
assets, and related documentation, shall vest in the Client once all
applicable fees have been paid in full.
4. Confidentiality
We treat your information very securely. That means:

No sharing it with third parties without your written consent.

We'll protect all proprietary and confidential information as
outlined in your Service Agreement or NDA.
5. Quality & Expertise
When you hire HeadBlocks, you're getting talent & accountability in
one place. We take full responsibility for the quality of work & the
capabilities of every person working on your project/product.
6. Dispute Resolution
Any dispute, controversy, or claim arising from, or connected with
these Terms or the performance of the Services shall first be
addressed through sincere & good faith discussions between the
parties.
Should such discussions fail to produce a resolution, the parties
agree to refer the matter to mediation as a prerequisite to
initiating any legal proceedings.
7. Refund & Cancellation
We know plans can change. Here's how we handle it:

Before work starts: Full refund.

After work starts but before completion:
Pro-rated refund based on work completed.

After completion: No refunds.
You can cancel at any time by emailing us at
[email protected]. We
may also cancel the Services if you breach these Terms or fail to
make payment.
8. Limitation of Liability
We're here to deliver value, not create risk. That's why:

We shall not be held responsible for any damages that are
indirect, incidental, or consequential in nature.

Our total liability is capped at the amount you've paid us for the
Services in question.
9. Governing Law
These Terms follow the laws of Dhaka, Bangladesh, without regard to
conflict of law rules.
10. Changes to These Terms
The Service Provider reserves the right to modify or update these
Terms at its sole discretion at any time. It is the Client's
responsibility to review the Terms of Service periodically while
engaging with or making use of the Services. Ongoing utilization of
the Services after any modifications to these Terms will be
considered as the Client's agreement to the updated provisions.
